Responsibilities and Obligations Guidelines for the Legal Consultation Team of the earnway.io Platform

1. Core Role Definition 

The Legal Consultation Team serves as the core department safeguarding the platform’s lawful and compliant operations, providing professional legal support and risk prevention for all business activities, decisions, and operations. 

The team shall uphold the platform’s legitimate rights, protect the lawful interests of users and partners, and promote the healthy and sustainable growth of the business as its fundamental objectives. 

2. Legal Support and Consultation Services

Contract Review and Drafting

Responsible for reviewing, revising, and drafting all major legal documents (e.g., contracts, agreements, user terms, privacy policies), ensuring their legality, validity, and enforceability while clearly defining parties’ rights and obligations. 

Daily Legal Consultation

Provide timely and accurate legal advice to platform management, business units, and employees, addressing inquiries related to laws, regulations, regulatory policies, business models, transaction structures, intellectual property, and data compliance. 

Business Compliance Review

Participate in legal risk assessment and compliance reviews for new business initiatives, products, features, and marketing activities, proactively identifying risks and proposing avoidance/resolution measures. 

Legal Research

Continuously monitor and analyze domestic/international laws, regulatory trends, judicial precedents, and industry practices relevant to the platform, generating professional reports to support decision-making. 

3. Risk Prevention and Compliance Management

Risk Identification and Assessment

Proactively detect legal, compliance, and regulatory risks in platform operations, conduct comprehensive evaluations, and issue alerts to management and relevant departments. 

Compliance Framework Development

Assist in establishing and refining internal compliance policies and procedures to meet legal/regulatory requirements and industry standards (e.g., data protection, AML, consumer rights). 

Compliance Training

Regularly organize legal and compliance awareness training for employees to enhance organizational compliance literacy. 

Compliance Monitoring

Collaborate with departments to supervise and inspect operational activities, promptly identifying and reporting potential violations. 

4. Dispute Resolution and Legal Actions 

Dispute Handling

Lead or assist in resolving legal disputes (e.g., escalated user complaints, partner conflicts, IP infringement, regulatory investigations, litigation/arbitration), develop strategies, manage external counsel (if applicable), and protect the platform’s interests. 

Evidence Management

Guide departments in collecting, securing, and preserving evidence related to potential/actual disputes. 

External Communication

Represent or assist departments in liaising with regulators, judicial authorities, counterparties, or their legal counsel within authorized scopes. 

5. Intellectual Property Protection

Develop protection strategies, manage registration/maintenance of the platform’s IP (trademarks, patents, copyrights, trade secrets), and monitor/enforce against infringements. 

Review third-party IP usage to prevent infringement risks. 

6. Professional Ethics and Obligations

Professional Prudence

Provide legal opinions based on sufficient facts and legal grounds, maintaining objectivity and avoiding subjective assumptions. 

Diligence and Responsibility

Execute legal matters efficiently and responsibly, ensuring thorough follow-through on assigned tasks. 

Confidentiality

Strictly safeguard the platform’s trade secrets, undisclosed information, user data, and other sensitive materials obtained during duties. 

Conflict Avoidance

Disclose and avoid conflicts of interest that may impair independent, objective judgment. 

Continuous Learning

Stay updated on legal/industry developments to enhance expertise and service quality. 

Compliant Practice

Ensure team members maintain valid professional credentials and adhere to ethical standards (e.g., attorney conduct rules where applicable). 

7. Collaboration and Communication Duties

Internal Collaboration

Proactively communicate/collaborate with business units, technical teams, and management to understand needs and deliver practical legal solutions. 

Risk Communication

Clearly convey legal risks/recommendations to non-legal colleagues for accurate understanding. 

Reporting Obligation

Regularly update management on critical legal risks, case progress, and compliance status. 

8. Scope of Responsibility 

Legal opinions are based on professional judgment and available information at the time and do not constitute absolute future guarantees. Final business decisions rest with management. 

The legal team primarily assesses risks and provides advice; business units bear direct responsibility for operational compliance with legal guidance.
